Well usually one needs to actually create such a beast in the eye's 
of the America legal system. Also put people in charge in place. 
Later one can get the community to vote on officers etc.

Most discussion I've seen has centered about what the foundation 
should do, but there is all that framework/'foundation' stuff that 
needs to occur so one accept funds as a non-profit, dole out funds, 
etc.
